OfficePro Terms of Service

This is part of the legal agreement between you (the Account Holder) and NaturaeSoft LLC ("NaturaeSoft") regarding the use of all NaturaeSoft services.

Welcome to your OfficePro Practice Management Console, powered by NaturaeSoft. Before you register for an OfficePro user account or log in to the site, you must read and agree to the OfficePro Terms of Service. Also review the OfficePro Privacy Policy — how we maintain, use, and protect your personal information in OfficePro.

Agreement with Terms of Service

The following terms and conditions govern all use of the NaturaeSoft LLC software, and all content, services, and products available at or through the software, including, but not limited to, the NaturaeSoft.com website, your NaturaeSoft Account, the OfficePro service, the NetPro service, the ChartPro service, and the BillPro service (collectively, the "Software"). The Software is owned and operated by NaturaeSoft, LLC ("NaturaeSoft"). The Software is offered subject to your acceptance, without modification, of all the terms and conditions contained herein and all other operating rules, policies (including, without limitation, NaturaeSoft's Privacy Policy) and procedures that may be published from time to time on this Site by NaturaeSoft (collectively, the "Agreement").

Please read this Agreement carefully before accessing or using the Software. By accessing or using any part of the Software or any of our websites, you agree to become bound by the terms and conditions of this Agreement. If you do not agree to all the terms and conditions of this Agreement, you may not access the Software or use any services. If these terms and conditions are considered an offer by NaturaeSoft LLC, acceptance is expressly limited to these terms. The Software is available only to individuals who are at least 16 years old.

NaturaeSoft reserves the right to update and change the Terms of Service from time to time without notice. Any new features that augment or enhance the current Service, including the release of new tools and resources, shall be subject to the Terms of Service. Continued use of the Service after any such changes constitutes your consent to such changes.

Definitions

• Account — An OfficePro account refers to the CustomerID, Name, and Email Address that you set up or that was set up when you signed up for a NaturaeSoft product or service.
• User — A person who has been granted access to an Account by the Account administrator.
• OfficePro — A practice management software service owned and operated by NaturaeSoft LLC.
• NetPro — A website management software service owned and operated by NaturaeSoft LLC.
• ChartPro — An Electronic Medical Records software service owned and operated by NaturaeSoft LLC.
• ChartPro AI Assistant — An optional, opt-in AI-powered feature within ChartPro that uses voice dictation and AI language model technology to assist providers in generating draft clinical chart notes. Use is subject to the Artificial Intelligence (AI) Features terms below.
• BillPro — An Insurance Billing software service owned and operated by NaturaeSoft LLC.
• ProductPro — A Natural Health Product software service owned and operated by NaturaeSoft LLC.
• PHI — Protected health information; medical information that can be traced back by identifying data to an individual receiving health care services from the Account holder or their agents.

Account Admins & Users

This agreement is between the Account Holder and NaturaeSoft LLC. All Users of the Account are authorized under the sole discretion of the Account Administrator, and their use of the system is governed by these same terms and conditions as they are an acting agent of the Account Holder.

The Account Administrator is responsible for maintaining all user accounts, including managing all passwords and use policies for all users of their account services. If a user is found to be using the system in a way that does not comply with the OfficePro terms of service, the Account Administrator must remove the user, correct the issue, or be subject to penalties and termination under the agreement.

Account Terms

• You must provide your legal full name, a valid email address, and any other information requested to complete the signup process.
• Your user account may only be used by one person. A single login shared by multiple people is not permitted.
• You represent and warrant that (a) all information provided by you to NaturaeSoft is correct and current, and (b) you have all necessary right, power, and authority to enter into this Agreement and perform the acts required of you hereunder.
• You are responsible for maintaining the security of your user account and password. NaturaeSoft cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
• You are responsible for all content posted by you within your OfficePro Practice Management Console(s). Documents, content, posts, and information entered into the OfficePro system become your legal property upon production, and its content, use, and security become your responsibility.
• You may not use the Service for any illegal or unauthorized purpose, and you agree to use the Service in compliance with all applicable local, state, national, and international laws, rules, and regulations.

NaturaeSoft takes no responsibility for third-party content (including, without limitation, any viruses or other disabling features), nor does NaturaeSoft have any obligation to monitor such third-party content. NaturaeSoft reserves the right to access, read, preserve, and disclose any information as it reasonably believes is necessary to satisfy any applicable law, regulation, legal process, or governmental request; enforce this Agreement; detect, prevent, or address fraud, security, or technical issues; respond to support requests; or protect the rights, property, or safety of NaturaeSoft, its users, and the public.

Artificial Intelligence (AI) Features

ChartPro AI Assistant

Description: ChartPro includes the optional ChartPro AI Assistant, which uses voice dictation and AI language model technology to assist providers in generating draft clinical chart notes. Use of ChartPro AI is strictly opt-in and must be affirmatively activated by the provider for each session. It is available only to accounts with an active ChartPro subscription and the AI feature enabled.

Third-Party AI Processing: ChartPro AI relies on the following third-party services:

• Google Cloud Speech-to-Text: Provider voice recordings captured during AI dictation sessions are transmitted to Google Cloud for transcription. Google Cloud operates as a Business Associate under a HIPAA-compliant agreement with NaturaeSoft.
• AI Language Model Services (Anthropic Claude): The resulting transcript and relevant clinical context are transmitted to NaturaeSoft's secure backend service, which utilizes Anthropic's Claude AI to generate a draft chart note. All transmissions occur over encrypted connections. Anthropic processes this data as a subprocessor under NaturaeSoft's HIPAA compliance framework.

PHI Transmitted During AI Sessions: When ChartPro AI is activated, the following patient information may be transmitted to third-party AI services to generate the chart note: the provider voice recording and resulting transcript, patient demographics, active diagnoses, current medications and supplements, allergies, relevant lab results, review of systems responses, intake form responses, and prior visit context as configured by the provider. By activating ChartPro AI for a session, you acknowledge and consent to this transmission as a necessary function of the feature. AI service providers are contractually required to process submitted data solely to deliver the service response and are prohibited from retaining, training on, or otherwise using submitted PHI beyond that purpose.

No Clinical Warranty; Provider Responsibility: AI-generated chart note content is a draft suggestion only. The treating provider is solely responsible for reviewing, editing, correcting, and approving all AI-generated content before it is saved to the patient record. NaturaeSoft makes no warranty, express or implied, as to the accuracy, completeness, clinical appropriateness, or fitness for any purpose of any AI-generated output. By using ChartPro AI, you acknowledge that AI-generated notes may contain errors, omissions, hallucinations, or clinically inappropriate content; that you are solely responsible for the accuracy and completeness of the final, saved chart note; that NaturaeSoft bears no liability for any clinical decision, patient outcome, or professional liability claim arising from or related to the use of AI-generated chart content; and that use of AI features does not diminish your professional obligations under applicable licensing, ethical, and clinical documentation standards.

AI Feature Availability and Changes: NaturaeSoft reserves the right to modify, suspend, or discontinue AI features at any time, including changes to underlying AI service providers, without notice. Availability of AI features is not guaranteed as part of the base ChartPro service level agreement.

Payment, Refunds, and Upgrading Terms

OfficePro Managers

• There is no charge to create or maintain an OfficePro trial account. There is a charge to continue to access the OfficePro system after the 45-day free period. All accounts are required to provide a credit card number.
• The Service is billed in advance on a monthly or annual basis and is non-refundable. There will be no refunds or credits for partial months of service or for unused months on an open account.
• All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, excluding only United States (federal or state) taxes.
• For any upgrade or downgrade of a premium feature, your credit card will automatically be charged the new rate on your next billing cycle.
• Downgrading your Service may cause the loss of content, features, or capacity. NaturaeSoft does not accept any liability for such loss.
• An account may not be transferred or otherwise rolled over into a new account.

OfficePro Users

There is no charge to use the NaturaeSoft service as a User of a paid OfficePro account. Users are subject to all terms and conditions of the practice that they log in under. All users are granted access by the Account Administrator, who takes full responsibility for the access of each user involved.

Cancellation and Termination

You are solely responsible for properly canceling your user or OfficePro account. An email or phone request to cancel your account is not considered cancellation. You can cancel your OfficePro account at any time using the "Upgrade OfficePro" sub-tab within the "Manager" tab on your OfficePro global navigation bar. All of your content will be immediately deleted from the Service upon cancellation of any OfficePro account. If you cancel before the end of your current paid-up month, your cancellation takes effect immediately and you will not be charged again.

NaturaeSoft, in its sole discretion, has the right to suspend or terminate your account and refuse any current or future use of the Service for any reason at any time. Such termination will result in the deactivation or deletion of your Account and the forfeiture of all Content in those Accounts.

Account inactivity on free accounts: After a group (including all associated members) fails to log in for 120 days, NaturaeSoft reserves the right to disable or terminate the account. If an account has been deactivated for inactivity, the group sub-domain associated with that account will be freely available for a new group registering for the service.
